TERMS AND CONDITIONS


§ 1

Preliminary Provisions

  1. The online store simple.edu.pl, available at https://simple.edu.pl, is operated by Paweł Bujak conducting business activity under the name Szkoła Języków i Biuro Tłumaczeń SIMPLE – Paweł Bujak, entered in the Central Register and Information on Economic Activity (CEIDG) maintained by the competent minister for economy, NIP: 6262223589.

  2. These Terms and Conditions are addressed both to Consumers and Entrepreneurs using the Store and define the rules of using the online Store as well as the rules and procedure for concluding Distance Sales Agreements with the Client via the Store.


§ 2

Definitions

  1. Consumer – a natural person concluding an agreement with the Seller within the Store, the subject of which is not directly related to their business or professional activity.

  2. Seller – Paweł Bujak conducting business under the name Szkoła Języków i Biuro Tłumaczeń SIMPLE, entered into CEIDG, NIP 6262223589.

  3. Client – any entity making purchases via the Store.

  4. Entrepreneur (Business Client / B2B Client) – a natural person, legal person, or organizational unit without legal personality granted legal capacity by law, conducting business activity in their own name and using the Store in direct connection with such business activity.

  5. Store – the online store operated by the Seller at simple.edu.pl.

  6. Distance Agreement – an agreement concluded with the Client within an organized system of concluding distance agreements, without simultaneous physical presence of the parties.

  7. Regulations – these Terms and Conditions.

  8. Order – a declaration of intent submitted by the Client via the Order Form aimed directly at concluding a Sales Agreement.

  9. Account – Client account in the Store.

  10. Product – movable item or service available in the Store.

  11. Sales Agreement – agreement concluded between the Client and Seller via the Store. Depending on the Product, it may constitute a service agreement or a contract for specific work.

§ 4

Technical Requirements

To use the Store, the following are required:

  • Internet access device

  • Web browser (Chrome, Opera, Firefox, Explorer or equivalent)

  • Active email account

  • Enabled cookies


§ 5

General Information

  1. The Seller shall not be liable to the maximum extent permitted by law for disruptions caused by force majeure, third parties, or incompatibility of the Store with the Client’s technical infrastructure.

  2. Prices are given in PLN and are gross prices (including VAT).

  3. The final payable amount consists of the service price and delivery costs.

  4. If the final price cannot be calculated in advance (e.g. translation services), a quotation will specify the pricing method and additional costs.


§ 6

Placing Orders

To place an Order, the Client must:

  • Submit documents for quotation

  • Complete the Order Form

  • Wait for quotation and payment link

  • Make payment via provided link


§ 7

Delivery and Payment Methods

Delivery options:

  • Courier

  • Postal priority

  • International priority

  • Email delivery

  • Personal collection in Bytom

Payment methods:

  • Cash on collection

  • Bank transfer

  • Online payment service

  • BLIK


§ 8

Performance of the Agreement

  1. The Sales Agreement is concluded upon confirmation email sent by the Seller.

  2. Payment deadline: at the moment of ordering.

  3. Delivery time runs:

    • from date of payment (for online/transfer)

    • from date of agreement (cash on collection)

  4. Delivery is worldwide.


§ 9

Withdrawal – Consumer Only

In accordance with Article 38 of the Consumer Rights Act of 30 May 2014, the right of withdrawal does not apply in case of:

a) services performed according to Consumer’s specifications

b) services fully performed with prior consent and acknowledgement of loss of withdrawal right


§ 9a

Special Provisions for Entrepreneurs (B2B Clients)

  1. In accordance with Article 558 §1 of the Polish Civil Code, the parties exclude the Seller’s liability under statutory warranty (rękojmia) towards Entrepreneurs.

  2. An Entrepreneur (B2B Client) has no statutory right to withdraw from the agreement concluded at a distance unless otherwise expressly agreed in writing.

  3. An Entrepreneur (B2B Client) has no right to request a refund of paid amounts, including advance payments, deposits, or full payments for services or Products.

  4. The only permissible modification available to an Entrepreneur is:

    • change of order scope, or

    • change of performance/delivery deadline

    provided that such request is submitted in writing at least 14 calendar days before the agreed performance date and accepted by the Seller.

  5. If the 14-day notice period is not respected, the Seller reserves the right to refuse changes without any financial obligation.

  6. In case of B2B transactions, Articles 556–576 of the Civil Code (warranty for defects) shall not apply.


§ 11

Complaints and Warranty

  1. The Seller shall provide services free from defects.

  2. In relation to Consumers, statutory warranty provisions apply.

  3. In relation to Entrepreneurs, statutory warranty liability is excluded (Art. 558 §1 Civil Code).


§ 12

Out-of-Court Dispute Resolution (Consumers Only)

Consumers may use:

  • Consumer Arbitration Court (Art. 37 Trade Inspection Act)

  • Mediation via Trade Inspection

  • Assistance of Consumer Ombudsman

  • EU ODR platform: http://ec.europa.eu/consumers/odr/


§ 13

Personal Data

  1. The Seller is the data controller.

  2. Data is processed for contract performance and marketing (if consent given).

  3. Data may be shared with:

    • delivery providers

    • payment operators

  4. Provision of personal data is voluntary but necessary to conclude the agreement.


§ 14

Final Provisions

  1. Agreements are concluded in Polish language.

  2. The Seller may amend the Regulations for important legal reasons with at least 7 days’ notice.

  3. In matters not regulated herein, Polish law applies, in particular:

    • Civil Code

    • Act on Providing Services by Electronic Means

    • Consumer Rights Act

    • Personal Data Protection Act

  4. Consumers may use the EU ODR platform.


LEGAL NOTE (B2B COMPLIANCE)

The exclusion of refund rights and warranty liability towards Entrepreneurs is compliant with Polish law, provided that:

  • the client is clearly identified as acting within business activity,

  • the exclusion clause is explicitly stated in the Regulations,

  • no unfair contractual terms are used towards Consumers.

Your added B2B clause is legally valid under:

  • Article 558 §1 Civil Code

  • Freedom of contract principle (Art. 353¹ Civil Code)
